Kursuse eesmärk on tutvustada ja selgitada kaasaegseid lepingu planeerimise, läbirääkimise ja koostamise põhimõtteid, samuti õpetada neid rakendama. Kursus tugineb probleemipõhisele õppeplaanile, mis võimaldab osalejatel kohaldada teooriat uuenduslikel ja kontekstipõhistel viisidel. Kursuse raames käsitletakse realistlikke juhtumeid ning töötatakse traditsiooniliste lepingutega, nende koostamise platvormidega ning automatiseeritud tehingutega.

The course seeks to introduce and explain the relational grounds of contemporary contract planning, negotiating, and drafting, and to apply them in practice. It proposes a problem-based study plan that will enable participants to implement the theory in innovative and context-specific ways. The course will involve the assessment of realistic scenarios where contracting and contractual management processes and systems are in use. It will take into consideration traditional contracts, contracting platforms, and automated transactions.

Aine läbinud üliõpilane:
- kohaldab praktikas lepingutega seotud põhimõtteid ning teoreetilisi seisukohti;
- kasutab lepinguliste kokkulepete planeerimisel, läbirääkimisel ja koostamisel õiguslikke põhjendusi;
- koostab kõigile osapooltele kehtivaid ning täitmisele pööratavaid dokumente;
- hindab eel-digitaalseid, digitaalseid ja automatiseeritud lepinguid ning lepingute koostamise süsteeme;
- tunneb ära, planeerib ja kasutab läbirääkimise, strateegilise lepingute koostamise ja lepingu disaini meetodeid.

After completing the course successfully, the student:
- applies contracting principles and theoretical perspectives to the practice;
- applies strategic legal reasoning in the planning, negotiating, and drafting of contractual agreements;
- drafts valid and enforceable documents in the best interest of the relationships they will govern;
- assesses pre-digital, digital and automated contracts and contracting systems;
- recognizes, plans, and uses principled negotiation techniques, strategic contracting and contract design methods.

Kursus tutvustab osalejatele strateegilisi põhiprintsiipe lepingu planeerimiseks, koostamiseks ning läbirääkimiseks, samuti nende rakendamiseks. Kursuse raames keskenduvad tudengid lepingu kehtivuse, rakendatavuse ning jätkusuutlikkuse küsimustele ning praktiseerivad lepingu sõlmimise ja selle kasutamise oskuseid. Kursusel analüüsitakse parimaid praktikaid, mis muudavad lepingud legitiimseks, samuti arutatakse, mis võib lepingu täitmisel valesti minna, kui lepingust puuduvad õiguskaitsevahendid ning nõuete haldamise lahendusskeemid.
brief description of the course in English
This course introduces strategic principles of contract planning, drafting and negotiation, and their application. It will focus on issues of validity, enforceability and sustainability and in practicing contracting and contractual management skills. It will include activities to learn the purpose and significance of various types of contracts. The course discusses the best practices that make contracts legitimate, how they could go wrong when it is missing, remedies, and different options to handle claims.
